THE FUTURE OF STRUCTUAL BIOLOGY SYMPOSIUM 2024 (“SYMPOSIUM”) PARTICIPATION TERMS AND CONDITIONS (“TERMS”)
BY REGISTERING FOR, SUBMITTING A POSTER FOR, OR PARTICIPATING IN THESYMPOSIUM (INDIVIDUALLY AND COLLECTIVELY, “PARTICIPATION” OR “PARTICIPATING”), YOU AGREE TO THESE TERMS, WHICH ARE A CONTRACT.
New England Biolabs, Inc. (“NEB”), located at 240 County Road, Ipswich, MA 01938, is the sponsor of the Symposium.
1. Registrant Eligibility.
The Symposium is open only to life science professionals who are at least 18 years old at the time of registration. The Symposium is subject to all applicable federal, state, and local laws and regulations. Participation constitutes registrant’s ’s (“you” or ‘your”) full and unconditional agreement to these Terms and NEB’s decisions, which are final and binding, in all matters related to the Symposium.
By participating in the Symposium, you represent that you are not prohibited by law, regulation, contract, policy, or terms of employment from participating in the Symposium and, as applicable, from receiving any recognition, benefit promotional item, honorarium, or NEB product (individually and collectively, “Benefit”) from NEB. If you are a federal government employee you are subject to the Office of Govt Ethics (OGE) regs at 5 C.F.R. 2635.201-206 (Standards of Ethical Conduct for Employees of the Executive Branch) and may be subject to additional agency-specific supplemental regulations, which you should refer to prior to participation in the Symposium . Other restrictions may apply to this Symposium. Determination of eligibility to participate and validity of your participation in the Symposium, including receipt of any Benefit and acceptance of any poster submission, is at NEB’s sole discretion.
2. The Symposium Registration Period and Poster Submission Period.
The Symposium registration period starts on February 5th, 2024 at approximately 12:01 a.m. Eastern Time (“ET”) and ends on March 20, 2024 at 11:59 p.m. ET (the “Registration Period”). Registrations received outside the Registration Period will be accepted at NEB’s sole discretion.
The poster submission period starts on February 5th, 2024 at approximately 12:01 a.m. Eastern Time (“ET”) and ends on March 8, 2024 at 11:59 p.m. ET (the “Poster Submission Period”). Posters received outside the Poster Submission Period will be accepted at NEB’s sole discretion.
NEB is the official timekeeper for the Symposium.
3. How to Register for the Symposium and Submit a Poster.
(i) Register Online: During the Registration Period, to register for the Symposium: (a) access the online registration form (b) enter your first and last name, email address, job title, institution, phone number and any institutional or organizational affiliation; (c) check the box to agree these Symposium Terms and to the Image Release and Waiver; and (d) follow the prompts to submit your registration.
(ii) Poster Submission: During the Poster Submission Period, if you desire to submit a poster to present at the Symposium: (a) access the online poster submission site (b) enter your first and last name, email address, job title, institution, phone number and any institutional or organizational affiliation (c) check the box to agree to these Symposium Terms and to the Poster Submission Guidelines; and (d) follow the prompts to submit your poster. Submissions that contain or communicate obscene, offensive, or other similarly inappropriate language and/or images or do not comply with the Poster Submission Guidelines (as determined by NEB at its sole discretion) will be void and disqualified.
4. Maximum Number of Registrations and Poster Submissions.
One Symposium registration is required per Symposium attendee. There is a maximum of one poster submission for Symposium presentation.
5. Your Poster.
If you submit a poster: A poster must: (a) be your original work product, including not generated by any artificial intelligence program; (b) be solely owned by you and with no other person or entity having any right or interest in it (unless you have a co-author or co-presenter, in which case that individual must be listed on your poster submission as such and your poster submission must comply with the Poster Submission Guidelines); and (c) not violate any third-party rights including but not limited to copyright, trademark, patent, contract, and/or publicity right, privacy rights or confidentiality obligations, of any other person or entity. You will not directly or indirectly include in your poster in any way any trademark, logo, or intellectual property unless owned exclusively by you or any information identifying a natural person other than you unless you obtain prior written permission to include such information in your poster from the owner of the intellectual property or of the other identified person. Your poster must not attempt to duplicate any other poster or third-party works. If someone other than you has taken, captured or created the content contained within your poster, you must have prior written permission from such person to submit such content as part of your poster, and you must be able to obtain a signed release from such person and provide such release to NEB upon NEB’s request, at NEB’s sole discretion. NEB reserves the right at its sole discretion to reject or disqualify any poster: that does not comply with the Poster Submission Guidelines; that is a duplicate or substantially similar to another poster; includes any material in possible violation of any third-party’s rights; contains any illegal or offensive content or activity; is obscene, demeaning, defamatory, discriminatory, inappropriate or disparaging to any person or entity; or is likely to incite violence, is illegal or is threatening or harassing. By submitting a poster, you grant NEB and NEB’s subsidiaries, affiliates, successors, assignees, and/or licensees, the non-exclusive, fully paid, worldwide license, in perpetuity to publish, use, modify, copy, display, share, broadcast, and prepare derivative works of your poster and name, as applicable, in any way for any and all purposes and in any medium, without further compensation to or permission from you (unless prohibited by law), and with or without credit to you, at NEB’s sole discretion. By submitting a poster, you waive any expectations of privacy with respect to the poster. NEB has no obligation to preserve, return, keep confidential or otherwise make available to you or others your poster. NEB has no obligation to accept your poster for presentation at the Symposium or use your poster or to exercise any rights. You agree to hold NEB and the Released Parties (defined herein) harmless from and against—and hereby waive any right to pursue—any claims of any nature arising in connection with NEB’s acceptance, presentation or not, of your poster, or other use of your poster.
6. Symposium Registrants.
There are 100 total attendance slots.
NEB will confirm Symposium registration from eligible registrants who submit a valid registration during the Symposium Registration Period while Symposium attendance slots remain(“Symposium Participant”). NEB will confirm a Symposium Participant using the email address provided by the Symposium Participant to register for the Symposium. Symposium Participation is on a first registration, first acceptance basis; provided that NEB has the right to deny Symposium Participation at its sole discretion.
7. Poster Submission.
There are 100 total poster acceptance slots.
NEB will confirm poster submission and acceptance for poster Symposium presentation from eligible registrants who submit a valid poster during the Poster Submission Period while Symposium poster presentation slots remain (“Poster Participant”). NEB will confirm a Poster Participant using the email address provided by the Symposium Participant to register for the Symposium. Poster Participation is on a first submission, first acceptance basis; provided that NEB has the right to deny Poster Participation at its sole discretion.
8. Participation Conditions and Release.
Unless otherwise provided for in these Terms, all registrations become the property of NEB and will not be acknowledged or returned. Registrations and poster submissions beyond the permitted number are void.
By participating, you agree to: (a) comply with and be bound by these Terms and the decisions of NEB which are binding and final in all matters relating to the Symposium; (b) release and hold harmless NEB, and its subsidiary and affiliated companies, and its and their officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses and liability, including but not limited to negligence and damages of any kind to persons and property; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to your participation in the Symposium and/or your acceptance, use or misuse of any Benefit. The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by you, or programming associated with or used in the Symposium; (b) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Symposium participation document process; (d) technical or human error, which may occur in the administration of the Symposium or the processing of participation documents; (e) any injury or damage to persons or property, which may be caused, directly or indirectly, in whole or in part, from your participation in the Symposium or receipt or use or misuse of any Benefit; or (f) participation documents or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, including but not limited to, by reason of unauthorized human intervention, spam filters, privacy settings, inactive email accounts or failure to monitor an email account. If for any reason your participation documents are confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, your sole remedy is to submit other participation documents for the Symposium.
9. Limitations of Liability.
BY PARTICIPATING INTHE SYMPOSIUM, YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE RELEASED PARTIES BE LIABLE, WHETHER IN CONTRACT, TORT, WARRANTY, OR UNDER ANY STATUTE OR ON ANY OTHER BASIS FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, MULTIPLE OR CONSEQUENTIAL DAMAGES SUSTAINED BY YOU OR ANY OTHER PERSON OR ENTITY ARISING OUT OF THE SYMPOSIUM, ANY BENEFIT, NEB’S PERFORMANCE OR FAILURE TO PERFORM ITS OBLIGATIONS RELATING TO THE SYMPOSIUM, WHETHER OR NOT FORESEEABLE AND WHETHER OR NOT NEB IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM OR RELATED TO LOSS OF USE, LOSS OF DATA, DOWNTIME, OR FOR LOSS OF REVENUE, PROFITS, GOODWILL, OR BUSINESS OR OTHER FINANCIAL LOSS.
BY PARTICIPATING IN THE SYMPOSIUM, YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SYMPOSIUM AND ANY BENEFITWILL BE LIMITED TO ACTUAL, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED ONE THOUSAND USD($1,000.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE.
FOR CALIFORNIA ENTRANTS: YOU UNDERSTAND AND AGREE THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OF THE US ARE HEREBY EXPRESSLY WAIVED BY YOU AGAINST THE RELEASED PARTIES. SECTION 1542 READS AS FOLLOWS:
“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
10. Disputes.
Except where prohibited by law, as a condition of participating in the Symposium, you agree that any and all disputes, claims and causes of action arising out of or connected with the Symposium or any Benefit will be resolved individually, without resort to any form of class action. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or your or NEB’s rights and obligations in connection with the Symposium, or any dispute arising out of the Symposium, will be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules.
11. Publicity.
Except where prohibited, you also agree that your participation in the Symposium constitutes your consent to NEB’s: (a) use of your name, likeness, photograph, voice, verbal or written comments, opinions and/or hometown and state for promotional purposes in any media (whether now known or invented in the future), worldwide, without further limitation, restriction, notice, review, approval, payment or consideration; (b) use and modification of your participation documents, in whole or in part, in any media (whether now known or invented in the future), worldwide, without further limitation, restriction, notice, review, approval, payment or consideration; however, NEB is not required to exercise such use rights under (a) or (b). Further, you may be required to execute and return to NEB a supplemental release confirming your consent to NEB’s use rights.
12. General Conditions.
Your participation documents must comply with NEB’s privacy policy and/or any third-party platform provider’s terms of service/use and privacy policies NEB reserves the right to: cancel, suspend and/or modify the Symposium, or any part of it, if any fraud, technical failures or any other factor beyond NEB’s reasonable control impairs the integrity or proper functioning of the Symposium; to change or modify these Terms with such change effective immediately upon posting to this webpage; and to terminate, or shorten or extend the duration of the Symposium Registration Period and the Poster Submission Period, as determined by NEB, at its sole discretion. NEB reserves the right, at its sole discretion to disqualify any person it finds to be tampering with the participation process or the operation of the Symposium or to be acting in violation of these Terms or any other academic or scientific custom or in an unsportsmanlike, unprofessional, or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Symposium may be a violation of criminal and civil law and, should such an attempt be made, NEB reserves the right to seek damages from any such person to the fullest extent permitted by law. NEB’s failure to enforce any provision of these Terms will not constitute a waiver of that provision.

The use of trademark symbols does not necessarily indicate that the name is trademarked in the country where it is being read; it indicates where the content was originally developed. 13. Image Release and Waiver (“Release and Waiver”) for The Structural Biology Symposium 2024 (“Symposium”)
I provide permission for New England Biolabs, Inc. and its subsidiaries, affiliates, agents, successors, and assigns (“NEB”) to use, re-use, publish, modify, edit, copy, display, share, broadcast, and prepare derivative works of (“Use”) my name, image, likeness, photograph, voice, verbal or written comments, opinions, affiliation and/or locality (“Image”) taken during or arising from the Symposium, for any purpose, including promotional purposes, in any media form (whether now known or invented in the future), worldwide, and in perpetuity without further credit, restriction, notice, permission, or compensation and at NEB’s sole discretion.
In consideration for my participation in the Symposium, I understand that I waive any expectation of privacy with respect to Use of my Image and I agree to release NEB from and waive any claim against NEB related to NEB’s Use of my Image.
